Terms of Service

1. Acceptance of Terms

By accessing and using the Match2Deal platform ("Platform"), operated by Match2Deal, Lda. ("we", "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Service Description

Match2Deal is an online platform that facilitates the connection between business sellers and potential buyers in Portugal. Our services include:

• Listing businesses for sale
• Search and filtering tools
• Messaging system between interested parties
• Access management for confidential information
• Premium transaction support services

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Not be barred from using the services under applicable law
• Provide truthful and up-to-date information during registration

4. User Accounts

4.1 Registration

To access certain features, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your access credentials.

4.2 Account Types

• Buyer: Free account to search for and contact sellers
• Seller: Paid account to list businesses for sale

5. Subscriptions and Payments

5.1 Pricing

Service prices are available on our pricing page and may be changed with 30 days' prior notice to existing subscribers.

5.2 Billing

Subscriptions are billed monthly. Payments are processed through third-party payment providers (Stripe). VAT will be added where applicable.

5.3 Success Fee

A 7% success fee applies to the value of transactions completed through the Platform. This fee is due only when the sale is actually concluded.

5.4 Cancellation

You may cancel your subscription at any time. Access to paid services will continue until the end of the current billing period.

6. Acceptable Use

When using the Platform, you agree not to:

• Violate any applicable law or regulation
• Publish false, misleading, or fraudulent information
• Harass, threaten, or discriminate against other users
• Attempt to access other users' accounts or data
• Use the Platform for spam or unsolicited marketing
• Interfere with the normal operation of the Platform
• Circumvent the security measures in place

7. User Content

7.1 Responsibility

You are responsible for all content you publish on the Platform, including listings, messages, and documents. You warrant that you have the right to publish such content.

7.2 License

By publishing content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in the context of our services.

7.3 Removal

We reserve the right to remove any content that violates these Terms or that we consider harmful to the Platform or its users.

8. Confidentiality

We are committed to protecting our users' confidential information. Our progressive disclosure system allows sellers to control when and to whom they reveal sensitive information about their businesses.

9. Limitation of Liability

The Platform is provided "as is". We are not a party to transactions between buyers and sellers and do not guarantee:

• The accuracy of information published by users
• The success of any transaction
• The continuous and uninterrupted availability of the services

To the maximum extent permitted by law, our total liability shall not exceed the amount paid by the user in the 12 months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Match2Deal harmless from any claims, damages, or expenses resulting from your breach of these Terms or misuse of the Platform.

11. Intellectual Property

All intellectual property rights in the Platform, including software, design, and brand, belong to Match2Deal. You are granted a limited license to use the Platform in accordance with these Terms.

12. Changes to the Terms

We may change these Terms at any time. Material changes will be communicated by email at least 30 days in advance. Continued use of the Platform after the changes constitutes acceptance of the new Terms.

13. Termination

We may suspend or terminate your account if you violate these Terms or for any other reasonable cause, upon notice. You may close your account at any time through the account settings.

14. Governing Law

These Terms are governed by Portuguese law. Any dispute will be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal.
